Eligibility & Exemptions

Black Oak Capital, Agri-Growth Fund (the “Fund”) is currently in development and not yet accepting investments. The information below is provided for educational purposes only to help prospective investors understand how Canadian securities exemptions work. When the Fund formally launches, investments will only be available to investors who qualify under these exemptions, and only through official offering documents.

How Exempt Market Investing Works
In Canada, securities of private investment funds like the Fund are distributed under exemptions from the prospectus requirement in National Instrument 45-106 – Prospectus Exemptions (NI 45-106). These exemptions limit participation to certain categories of investors. Common Exemptions (for future offering)

  1. Accredited Investor Exemption
    When available, investments will generally be open to “accredited investors,” meaning individuals or entities who meet specific financial or professional thresholds, such as:
    – Individuals with net financial assets (excluding primary residence) of at least $1 million before taxes but net of liabilities; or
    – Individuals with annual net income before taxes of more than $200,000 (or $300,000 with a spouse) in each of the past two years, with a reasonable expectation of continuation; or
    – Corporations, partnerships, or trusts with net assets of at least $5 million.
  2. Minimum Amount Exemption
    Non-individual investors (such as corporations or trusts) may qualify by investing at least $150,000 in a single transaction. This exemption does not apply to individuals.
  3. Offering Memorandum (OM) Exemption
    In Ontario and certain other provinces, individuals may be able to invest under the Offering Memorandum exemption once the Fund launches. This allows eligible investors to participate even if they do not meet accredited thresholds.
  4. Eligible Investor Rules (under OM)
    Within the OM exemption framework, individuals may qualify as “eligible investors” if they meet certain income or asset thresholds, or if they invest below specific annual limits.
